1. About BizGuru

BizGuru is a digital marketing and web services agency based in Orange County, California. We provide website design, business automation, lead management, CRM solutions, and related digital marketing services to small businesses. These Terms govern your use of our website at bizguru.io and any services we provide to you.

2. Services

BizGuru provides the following categories of services on a subscription basis:

• Custom website design, development, and hosting
• CRM setup, lead management, and pipeline automation
• Business automation workflows (appointment booking, follow-ups, reminders)
• Reputation management and review generation
• SEO optimization and local search visibility
• Social media management and content creation
• SMS and email marketing campaigns
• Analytics, reporting, and performance tracking

Specific features and deliverables vary by plan. Services not listed above may be accommodated on a case-by-case basis and will be outlined in your service agreement.

3. Account Responsibilities

• You are responsible for maintaining the confidentiality of your account credentials.
• You agree to provide accurate and current business information needed to deliver your services.
• You are responsible for all activity that occurs under your account.
• You agree to provide timely feedback and approvals when requested to avoid project delays.
• You are responsible for the accuracy and legality of content you provide for your website and marketing materials.

4. Payments & Billing

Subscription fees are billed monthly via Stripe. By subscribing, you authorize BizGuru to charge your payment method on file on a recurring basis.

• Setup fees: Some plans may include a one-time setup or onboarding fee, which will be clearly communicated before purchase.
• Billing cycle: Subscriptions renew automatically on the same day each month.
• Failed payments: If a payment fails, we will attempt to charge again within 3–5 business days and notify you. Continued failure may result in service suspension.
• Price changes: We will provide at least 30 days notice before any pricing changes take effect on your account.
• Refunds: All fees are non-refundable unless otherwise stated in your service agreement.

5. Cancellation

You may cancel your subscription at any time. There are no long-term contracts or cancellation fees.

• Your service will remain active until the end of your current billing period.
• Upon cancellation, we will provide a reasonable window (14 days) for you to export or request your data, content, and assets.
• Website hosting will be discontinued at the end of your billing period unless you arrange alternative hosting.
• Custom domain names registered on your behalf remain your property. We will assist with the transfer process.

6. Deliverables and Timelines

Estimated timelines for website builds and project milestones will be communicated during onboarding. Timelines depend on:

• Timely delivery of content, logos, images, and brand materials from the client
• Timely review and approval of drafts and deliverables
• Scope of the project as defined in the service agreement

Delays caused by late client feedback will extend the timeline accordingly. BizGuru is not responsible for delays caused by circumstances outside our control.

7. Intellectual Property

• Upon full payment, you own the website content, copy, and custom assets we create specifically for your business.
• BizGuru retains ownership of proprietary templates, code frameworks, automation workflows, and systems used to deliver services. These are licensed to you for the duration of your subscription.
• BizGuru retains the right to showcase completed projects in our portfolio and marketing materials unless otherwise agreed in writing.
• Third-party assets (stock photos, fonts, plugins) are subject to their respective license terms.

8. Acceptable Use

You agree not to use BizGuru's services to:

• Publish or distribute illegal, defamatory, harassing, or fraudulent content
• Send unsolicited spam via email or SMS through our platform
• Violate any applicable local, state, or federal law
• Infringe on the intellectual property rights of any third party
• Attempt to gain unauthorized access to our systems or other users' accounts

Violation of these terms may result in immediate suspension or termination of your account without refund.

9. Limitation of Liability

BizGuru is not liable for any indirect, incidental, consequential, or punitive damages arising from the use of our services, including but not limited to loss of revenue, data, or business opportunities.

Our total liability shall not exceed the total amount paid by you in the preceding 12 months for the specific service giving rise to the claim.

BizGuru does not guarantee specific business results, lead volumes, search engine rankings, or revenue outcomes from our services.

10. Service Availability

We strive to maintain high uptime for all hosted websites and services. However, we do not guarantee uninterrupted service and are not liable for downtime caused by:

• Scheduled maintenance (we will provide advance notice when possible)
• Third-party service outages (hosting providers, DNS, payment processors)
• Force majeure events (natural disasters, power outages, etc.)
• Actions taken by the client that compromise their website or account

11. Dispute Resolution

In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation. If negotiation fails, disputes shall be submitted to non-binding mediation before any legal action is initiated. These Terms are governed by the laws of the State of California. Venue for any legal proceedings shall be Orange County, California.

12. SMS/Text Messaging Terms

By opting in to receive SMS text messages from BizGuru, you agree to the following:

Consent: You consent to receive text messages regarding your account, project updates, and occasional marketing.

Opt-Out: You can cancel the SMS service at any time. Just text "STOP" to the shortcode or number you received the message from. After you send the SMS message "STOP" to us, we will send you an SMS message to confirm that you have been unsubscribed.

Help: If you are experiencing issues with the messaging program you can reply with the keyword "HELP" for more assistance.

Carrier Liability: Carriers are not liable for delayed or undelivered messages.

Rates: As always, message and data rates may apply for any messages sent to you from us and to us from you. Message frequency varies.

13. Changes to These Terms

We reserve the right to update these terms at any time. The current version will always be posted at this URL with an updated effective date. Your continued use of our website or services after any change constitutes acceptance of the revised terms.
